Sales Terms

These terms apply to every order placed with Displaysense Ltd.

Clause 1.1

Definitions

In these terms:

"Buyer" or "you"
means the person who accepts a quotation from the Seller for the sale of the Goods, whose acceptance is then confirmed by the Seller in accordance with these conditions, or whose order for the Goods is accepted by the Seller.
"Goods"
means the goods (including any instalment of the Goods or any parts) which the Seller is to supply in accordance with these conditions.
"Seller", "we", "us", or "our"
means Displaysense Ltd (Company Registration No. 1389049) of New Mead Barn, Wickham Hall, Hadham Road, Bishop's Stortford CM23 1JG, UK.
"Conditions"
means the standard terms of sale set out in this document and (unless the context otherwise requires) any special terms agreed in writing between the Buyer and the Seller, or set out in any Quotation, Order, or Acceptance Form issued by the Seller.
"Contract"
means the contract for the purchase and sale of the Goods.
"Writing"
includes telex, cable, email, fax, and comparable means of communication.

Any reference in these conditions to a provision of a Statute is a reference to that provision as amended, re-enacted, or extended at the relevant time. Headings in these conditions are for convenience only and do not affect their interpretation.

Clause 1.2

Updating Range

Our range of products is continually being revised and updated. We reserve the right to change specifications without prior notice.

Clause 1.3

Specifications

All descriptions, illustrations, and sizes given on this website or in any catalogue are for guidance only. No particulars in them are binding on the company.

Clause 1.4

Samples

Prior to a bulk order, we are able to supply samples on selected items. Please call 01279 460 460 for details.

Clause 1.5

Price and Discounts

All prices are quoted exclusive of VAT. Please refer to ordering information for details. Displaysense Ltd reserves the right to alter any prices or discounts at any time without prior notice.

Clause 1.6

Minimum Order

There is no minimum order with Displaysense Ltd.

Clause 1.7

Delivery and Risk

Lead times

Lead times are given in good faith. Displaysense Ltd will not be responsible for any kind of delay in transit. We accept no liability and the Buyer has no right to cancel the order if delivery is delayed beyond the estimated time, unless we have specifically agreed in writing to deliver on a particular date.

Fair usage

Our standard delivery charge is subject to fair usage. In the event that multiple low-value orders are received to a number of locations, we reserve the right to quote a higher delivery amount or refuse the order.

Inspecting your delivery

Prior to despatch, great care is taken to inspect and package all goods. Upon delivery, the carrier's Proof of Delivery should be signed as "Damaged" if you believe that the goods may be damaged. All goods must be examined as soon as possible for damage or any items missing.

Reporting damage or shortages

Damage or shortages must be reported to Displaysense within 14 days of delivery. Please email help@displaysense.co.uk within 14 days of delivery and include a picture of the damage, a picture of the consignment label on the box, and your order number or contact details. If the goods are found to be damaged, please ensure that you keep all packaging and replace it back in the box with the damaged item.

Failure to comply with any of the above will be deemed acceptance that the goods are acceptable, and the Buyer unconditionally waives any right to reject the goods.

Liability

Our liability in respect of loss or damage to goods shall not exceed the invoice value of the goods (excluding VAT). Our liability shall in no event extend to consequential or indirect loss or damage, loss to third parties, or loss of business.

Delivery address

The goods must be delivered to the delivery address agreed with Displaysense Ltd. Under no circumstances should the carrier be instructed by the Buyer to deliver to another address or to leave the goods elsewhere. If the Buyer or a representative of the Buyer is not available to check and take delivery of the goods at the delivery address, this may result in the carrier needing to return on another date and a delivery surcharge to the Buyer may apply.

Clause 1.8

Payment

Non-account orders

Non-account buyers must submit payment with their order by credit/debit card, BACS/CHAPS, or cheque. When paying by cheque, please allow 5 to 7 working days for funds to clear before goods can be released.

Credit accounts

Credit accounts may be applied for following a minimum of 3 months' regular trading with Displaysense Ltd on a payment-with-order basis. Terms of trade are 30 days net, and any account outstanding for more than 30 days may be charged interest at 4% above Barclays Bank PLC lending rate. We reserve the right to refuse or withdraw credit accounts at any time.

Currency and merchant domicile

For security reasons, only UK customers can pay in GBP using a UK-registered debit/credit card. The Country of Merchant Domicile is the UK.

Cancellation and Returns

Submitting a return request

Please email help@displaysense.co.uk to submit a return request.

Cancelling an order

You can cancel your order, but you must contact our Customer Services Department immediately to establish the status of your order. Visit the Contact Us section for contact details. If we are able to stop the order from being despatched, we will refund the full amount of the order. If your order has been despatched, our returns policy below applies.

Returning goods

No goods may be returned to Displaysense Ltd without our prior consent. Goods are returned at the Buyer's own cost and risk. Goods must be returned within the 28-day money-back guarantee period from the time of delivery in order for the return to be valid. The goods must be returned in their original packaging, in an unused, unassembled, and resellable condition. Refunds will be made on the cost of the goods plus VAT only.

Returns without original packaging or in reduced condition

If goods are returned without their original packaging, with significantly damaged packaging, or in a condition that is not fully resellable, we reserve the right to deduct an amount from your refund to cover restocking, repackaging, repair, or any other costs incurred in returning the goods to a saleable condition. The deduction will be commensurate with the condition of the returned items and will be communicated to you before the refund is processed. In cases where goods cannot be returned to a resellable condition, we reserve the right to refuse the return entirely.

Damage in transit on returns

Goods being returned travel at the Buyer's own cost and risk. We strongly recommend using a tracked and insured carrier service for returns, particularly for higher-value or fragile items. We are not responsible for goods that are lost or damaged in transit on their way back to us, and refunds will not be issued for items we have not received, or for items that arrive in a condition that is not resellable.

Heavy goods returns

Returns of heavy goods items are the responsibility of the Buyer. The Buyer must arrange and pay for a suitable pallet courier or removal service to return the goods to our warehouse in Bishop's Stortford. We are unable to organise heavy goods return collections on the Buyer's behalf. Heavy goods returns must be agreed in writing with our Customer Services team in advance.

Custom items

Custom-made and printed items are non-returnable.

Clause 1.10

Faulty Products

No goods may be returned to Displaysense Ltd without our prior consent. If you believe an item to be faulty, please email help@displaysense.co.uk with your order reference number and an image attached showing what you deem the fault to be. Once we have received your notification, we will contact you within 24 hours (Monday to Friday) to arrange a replacement or for a full refund to be made.

Clause 1.11

Bespoke Orders

It is the customer's own responsibility to check the accuracy of the designs, drawings, and specifications, and any other data supplied to us for made-to-order items. You agree to review our written sales order and inform us in writing of any inaccuracies. We will correct the inaccuracies and reissue the sales order or drawings for you to accept by signing the sales order form.

Once the sales order form has been accepted and signed by you, it cannot be cancelled and no amendments can be made to the order or specifications without our prior consent in writing.

Bespoke orders will be subject to a delivery charge which will be calculated at the time of order. Personalised, printed, and made-to-order items are non-refundable and cannot be returned to us under our 28-day money-back guarantee.

Delivery timescales are quoted in good faith and are not the essence of the contract. No deductions or costs can be claimed for late delivery. If the delivery date is extended by the customer, it is the customer's responsibility to organise and pay for any extra storage, handling, and distribution costs incurred by us or our manufacturing plants.

Clause 1.12

Printed Items

Please be advised that all printed items are non-returnable and non-refundable. This applies to the complete printed product, including any hardware, frames, stands, banners, poles, brackets, or accessories that form part of the printed order. Where a print is supplied with a hardware element, the order is treated as a single custom item and the hardware element cannot be returned separately.

Due to the custom nature of these products, once they have been printed and delivered, they cannot be returned or exchanged unless the item is defective or the printing does not match the approved design.

Customers are encouraged to thoroughly review and approve all designs and proofs prior to printing. By confirming your order, you accept responsibility for the design and understand that changes cannot be made once production has commenced.

In the unlikely event of a defect or a discrepancy in the printing, please contact our customer service team immediately. We will investigate the issue and, if we determine that the fault lies with our printing process, we will offer an appropriate resolution. We strive for the highest quality in all our printed products and appreciate your understanding of this policy.

Clause 1.13

Copyright

Copyright of any product manufactured by us, or any design, illustration, or drawing produced by us, remains the sole property of Displaysense Ltd unless expressly agreed in writing by Displaysense Ltd.

Clause 1.14

Reservation of Title

Risk in the Goods shall pass to you when the Goods are delivered. The property of the Goods shall remain with us until you pay all sums due, whether in respect of this contract or otherwise.

You shall hold the Goods as our fiduciary agent and bailee until title passes. Until title passes, the Goods shall be stored separately from any other goods and you shall not interfere with any identification mark, labels, batch numbers, or serial numbers on the Goods.

Until title passes, we agree that you may use or agree to sell the Goods as principal and not as our agent in the ordinary course of your business, subject to the express condition that, at our direction, the entire proceeds of any sale or insurance proceeds received in respect of the Goods are held in trust for us, not mixed with any other monies or paid into an overdrawn bank account, and shall at all times be identifiable as our money.

We shall be entitled to recover the price of the Goods including VAT even though the property in any of the Goods remains with us. We shall be entitled at any time to recover any or all of the Goods in your possession to which we have title. For that purpose, we, our servants, or agents may, with such transport as is necessary, enter upon any premises occupied by you or to which you have access and where the Goods may be or are believed to be situated.

Clause 1.15

General

This contract shall be governed and interpreted exclusively in accordance with the law of England. The Country of Merchant Domicile is the UK.

Clause 1.16

Force Majeure

Displaysense Ltd shall not be liable for any failure or delay in performing our obligations under the Contract that arises from circumstances beyond our reasonable control. Such circumstances include, but are not limited to, acts of God, severe weather, fire, flood, war, terrorism, civil unrest, epidemics or pandemics, government action, industrial disputes, carrier or courier failures, supplier failures, shortages of materials, IT or telecommunications failures, and disruption of utilities.

Where such circumstances occur, we will use reasonable efforts to notify the Buyer of any expected delay and to resume performance as soon as practicable. The Buyer will not be entitled to terminate the Contract or claim damages, costs, or losses on the basis of any delay or failure to perform caused by such circumstances.

If the period of disruption extends beyond 90 days, either party may terminate the Contract by written notice. In such cases, we will refund any payment received for Goods not yet despatched, but no further liability will arise.

Clause 1.17

Acceptance of Orders

Placement of an order on our website or by any other means constitutes an offer by the Buyer to purchase the Goods, subject to these conditions. No order shall be deemed accepted by Displaysense Ltd until we issue a written confirmation of the order, despatch the Goods, or take payment for the order, whichever occurs first.

We reserve the right to refuse or cancel any order at our discretion, including but not limited to where stock is unavailable, the Goods have been incorrectly priced or described on our website, we suspect fraudulent activity, the Buyer's payment method cannot be authorised, the delivery address is unsuitable for the Goods ordered, or the order does not meet our credit or commercial requirements.

Where an order is refused or cancelled by us prior to despatch, any payment taken will be refunded in full to the Buyer's original payment method. We are not liable for any consequential losses arising from a refused or cancelled order.

We do not assume, and therefore disclaim, any liability for any loss or damage caused by errors or omissions.

The merchantability or fitness for a particular purpose of any product is not guaranteed.

Indemnity

In order to use this site, you must agree to be legally bound and to abide by the terms, and to indemnify and hold displaysense.co.uk harmless from all alleged or actual damages, claims, and expenses relating to any warranty, guarantee, or representations made by the individual merchants or linked sites. This includes, without limitation, attorney's fees. The use of this site for any reason is deemed to be an agreement of this condition.

Availability of Service

Severance

Governing Law

Any such contract will be interpreted, construed, and enforced in all respects in accordance with the laws of England, and you and displaysense.co.uk irrevocably submit to the non-exclusive jurisdiction of the English Courts. This agreement is governed by English law and all disputes will be handled solely in the United Kingdom. English Courts will have jurisdiction in respect of it. You consent to such venue and jurisdiction.

displaysense.co.uk controls and operates its website from its offices in the United Kingdom and makes no representations or warranties that its content or use is legal in other locations.

Variation
